  • Comply with all applicable laws and safety regulations

  • Make timely payments

Delays caused by client inaction may affect timelines and costs.


7. Intellectual Property

All materials produced by Multi-Phase Projects, including:

  • Reports

  • Plans

  • Documentation

  • Processes and methodologies

remain the intellectual property of the Company unless otherwise stated in writing.

Clients may use delivered materials only for the agreed project and not for resale, reproduction, or redistribution without written consent.


8. Confidentiality

Both parties agree to keep confidential any non-public, proprietary, or sensitive information shared during the course of a project, including:

  • Business information

  • Technical documents

  • Project data

  • Financial information

Confidentiality obligations survive termination of services.


9. Limitation of Liability

To the fullest extent permitted by Canadian law, Multi-Phase Projects shall not be liable for:

  • Indirect, incidental, or consequential damages

  • Delays caused by third parties, contractors, weather, or unforeseen conditions

Upon termination:

  • Outstanding fees become immediately payable

  • Work completed up to termination remains billable
